本服务条款(以下简称"本条款")由隆辉国际知识产权(以下简称"我们")与您(以下简称"委托人")就知识产权相关服务事项订立。请您在委托前仔细阅读并理解本条款。您向我们发出委托、支付费用或接受我们的服务,即视为您已阅读、理解并同意本条款。
一、服务内容
我们提供的服务包括但不限于:
- 商标、专利、著作权等知识产权的申请注册与布局规划;
- 知识产权保护,包括侵权监测、异议、无效宣告、行政投诉与维权支持;
- 商业秘密保护体系建设与维权支持;
- 防伪技术的开发与评估;
- 品牌保护与海外注册布局;
- 其他双方另行约定的知识产权相关服务。
具体服务范围、期限与交付内容,以双方另行签署的委托合同、报价单或书面确认为准。本条款与前述文件不一致的,以后者为准。
二、委托人的义务与保证
- 资料真实:您应提供真实、准确、完整的申请材料与主体信息,并对材料的真实性负责;
- 权利合法:您应保证所申请、主张的知识产权不侵犯他人合法权益,不含虚假、夸大或违反法律法规的内容;
- 及时配合:在法定期限内及时确认文件、答复意见、提供补充材料,因迟延导致的后果由您承担;
- 费用支付:按约定支付官费、代理费及其他必要费用。
因您提供的材料不真实、不准确或不完整,或您未及时配合,导致申请被驳回、权利被宣告无效、期限届满丧失权利的,我们不承担相应责任。
三、我们的义务
- 以专业、勤勉、谨慎的态度办理所委托事项;
- 及时向您反馈办理进度与审查意见;
- 在授权范围内以您名义办理事务,未经您同意不擅自变更委托事项;
- 对办理过程中知悉的您的商业秘密与未公开信息承担保密义务;
- 妥善保管您提供的材料与文件。
四、费用
- 服务费用由代理服务费与官方规费两部分构成,具体金额以报价单或委托合同约定为准;
- 官方规费按主管机关公布的标准收取,如遇官方调整,双方另行确认;
- 涉及境外申请、翻译、公证认证等第三方费用的,由您承担;
- 除双方另有约定或法律法规规定外,官费一经缴纳不予退还。
五、知识产权归属
- 您提供的商标图样、技术方案、作品等材料,其权利归您或合法权利人所有,我们不主张任何权利;
- 我们为提供服务而制作的分析报告、检索报告、方案文件的著作权归我们所有,您可在委托目的范围内使用;
- 本网站的文字、图形、界面设计与代码,其著作权归我们所有,未经许可不得复制、转载或用于商业用途。
六、保密条款
- 双方对因履行委托而知悉的对方商业秘密、技术秘密及未公开信息负有保密义务;
- 保密义务不因委托关系终止而终止;
- 为办理委托事项向主管机关或合作机构披露必要信息的,不属于违反保密义务。
七、责任限制
- 审查结果不由我们决定:商标、专利等能否获准注册,取决于主管机关的审查标准与在先权利状况,我们不对审查结果作出保证;
- 我们提交的检索报告、风险评估与可行性分析,基于公开信息与专业判断作出,仅供参考,不构成结果承诺;
- 因不可抗力、政策法规变化、主管机关行为、第三方原因等非我们可控因素导致的损失,我们不承担责任;
- 在法律法规允许的范围内,我们的赔偿责任以您就该项服务实际支付的代理服务费为限。
八、委托的变更与终止
- 您可随时书面通知我们终止委托;已发生的官方规费不予退还,已完成工作对应的代理费按约定结算;
- 如您要求办理的事项违反法律法规或公序良俗,我们有权拒绝或终止服务;
- 委托终止后,我们仍对办理过程中知悉的您的保密信息承担保密义务。
九、法律适用与争议解决
- 本条款的订立、效力、解释与争议解决,适用中华人民共和国法律;
- 因本条款产生的争议,双方应友好协商解决;协商不成的,提交我们所在地有管辖权的人民法院诉讼解决。
十、条款的更新
我们可能因法律法规变化或业务调整而更新本条款。更新后的条款将在本页面公布,并更新页面顶部的"最近更新"日期。您在条款更新后继续使用我们的服务,视为接受更新后的条款。

These Terms of Service ("Terms") are entered into between Longhui International Intellectual Property ("we", "us") and you ("the Client") in respect of intellectual property services. Please read and understand these Terms before instructing us. By instructing us, paying fees or accepting our services, you confirm that you have read, understood and agreed to these Terms.
1. Scope of Services
Our services include but are not limited to:
- Filing, registration and portfolio planning for trademarks, patents and copyright;
- IP protection, including infringement monitoring, oppositions, invalidation actions, administrative complaints and enforcement support;
- Trade secret protection systems and enforcement support;
- Development and evaluation of anti-counterfeiting technologies;
- Brand protection and overseas filing strategy;
- Other IP-related services separately agreed between the parties.
Specific scope, term and deliverables are governed by a separate engagement letter, quotation or written confirmation. Where these Terms conflict with such documents, the latter prevail.
2. Client Obligations and Warranties
- Accurate materials: you shall provide true, accurate and complete application materials and entity information, and are responsible for their accuracy;
- Lawful rights: you warrant that the rights applied for or asserted do not infringe any third party's lawful rights and contain no false, exaggerated or unlawful content;
- Timely cooperation: you shall confirm documents, respond to notices and provide supplementary materials within statutory deadlines; consequences of delay rest with you;
- Payment: you shall pay official fees, service fees and other necessary costs as agreed.
We are not liable where applications are rejected, rights invalidated or deadlines missed as a result of materials you provided being untrue, inaccurate or incomplete, or as a result of your failure to cooperate in time.
3. Our Obligations
- Handle instructed matters with professionalism, diligence and care;
- Report progress and examination opinions to you promptly;
- Act in your name within the scope of authority, without unilaterally changing the instructed matters;
- Keep confidential your trade secrets and non-public information learned in the course of engagement;
- Take proper care of materials and documents you provide.
4. Fees
- Fees consist of professional service fees and official fees; specific amounts follow the quotation or engagement letter;
- Official fees are charged per the standards published by the competent authorities; adjustments will be confirmed between the parties;
- Third-party costs such as overseas filing fees, translation and notarization are borne by you;
- Unless otherwise agreed or required by law, official fees paid are non-refundable.
5. Intellectual Property Ownership
- Trademark artwork, technical solutions and works you provide remain owned by you or the lawful rights holder; we claim no rights over them;
- Copyright in analysis reports, search reports and proposals we produce belongs to us; you may use them for the purposes of the engagement;
- Copyright in the text, graphics, interface design and code of this website belongs to us and may not be copied, reproduced or used commercially without permission.
6. Confidentiality
- Both parties shall keep confidential the other's trade secrets, technical secrets and non-public information learned through the engagement;
- Confidentiality obligations survive termination of the engagement;
- Disclosure of necessary information to competent authorities or partner agencies for handling the engagement does not breach confidentiality.
7. Limitation of Liability
- Examination outcomes are not ours to decide: whether a trademark or patent is granted depends on the examination standards of the competent authority and prior rights; we do not guarantee outcomes;
- Search reports, risk assessments and feasibility analyses are based on public information and professional judgment, are for reference only and do not constitute a guarantee of results;
- We are not liable for losses caused by force majeure, changes in laws or policies, acts of competent authorities, third-party conduct or other factors beyond our control;
- To the extent permitted by law, our liability is limited to the professional service fees you actually paid for the relevant service.
8. Variation and Termination
- You may terminate the engagement at any time by written notice; official fees already incurred are non-refundable and professional fees for completed work are settled as agreed;
- We may decline or terminate services where the instructed matters would violate laws or public order;
- After termination, we remain bound by confidentiality regarding your information.
9. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the People's Republic of China;
- Disputes shall first be resolved through friendly negotiation; failing that, they shall be submitted to the competent people's court at our place of domicile.
10. Updates to These Terms
We may update these Terms in response to legal changes or business adjustments. Updated versions will be published on this page with a revised "Last updated" date. Continued use of our services after an update constitutes acceptance.
